1) Who We Are
Broadcast Harmonics LLC is a Wyoming limited liability company. Operational / mailing address: 790 N SoHo Pl, Chandler, AZ 85225. We operate multiple brands and properties (e.g., Polarity Leads, AI Secret Weapon) and may add additional brands over time. A current listing is maintained at /companies.
2) Scope of Services
We provide digital marketing and technology-enabled services including, but not limited to: media production, marketing/advertising/branding, consulting, AI-enabled services, training programs, and strategic partnerships. Service specifics, pricing, timelines, deliverables, and responsibilities may be described on a Site page, order form, proposal, statement of work ("SOW"), invoice, or master services agreement ("MSA").
3) Eligibility & Account Responsibilities
- You must be able to form a binding contract in your jurisdiction to use the Services.
- You are responsible for information you submit through our forms, portals, or communications.
- You agree not to use the Services for unlawful, abusive, or fraudulent purposes.
4) Acceptable Use
You may not: attempt unauthorized access, interfere with service operations, scrape or copy content at scale, transmit malware, spam our systems, harass others, or misuse any forms, messaging, or communications channels. Additional rules may be included in our Acceptable Use Policy.
5) Intellectual Property
Our Sites, designs, templates, frameworks, code, strategies, content, and materials are owned by us or licensed to us and are protected by intellectual property laws. You receive a limited, revocable, non-transferable right to access the Sites for your internal, lawful use. No rights are granted by implication.
6) Client Content & Permissions
If you provide content, logos, images, copy, data, or access credentials ("Client Materials"), you represent that you have the legal rights to do so. You grant us permission to use Client Materials solely to perform the Services. You remain responsible for Client Materials and for compliance with applicable laws (including disclosures, claims, and advertising rules).
7) Disclaimers (No Guarantees)
Marketing, SEO, advertising, and AI-driven visibility involve variables outside our control (platform changes, algorithm updates, competition, ad auctions, customer demand, reputation signals, etc.). Accordingly:
- No guaranteed rankings, leads, revenue, or results unless expressly stated in a signed agreement.
- Services are provided on an "as is" and "as available" basis.
- We do not provide legal, tax, or financial advice.
8) Payments, Refunds, and Chargebacks
Fees, payment schedules, and refund terms are governed by the applicable checkout, invoice, proposal, MSA, and/or SOW. Refund rules (if any) are described in our Refund Policy.
- Late payments may pause work and/or result in late fees as permitted by law and/or contract.
- Chargebacks and payment disputes may result in suspension of Services pending resolution.
9) Third-Party Tools and Links
We may integrate or reference third-party platforms (e.g., hosting providers, analytics, forms, payment processors, CRM tools). We are not responsible for third-party products, policies, or outages. Your use of third-party tools is subject to their terms.
10) Confidentiality
If we share non-public information, strategies, pricing, or internal methods, you agree not to disclose or misuse that information. For client engagements, confidentiality terms may be further defined in an MSA/SOW or NDA.
11) Limitation of Liability
To the maximum extent permitted by law, in no event will Broadcast Harmonics LLC (including owners, contractors, affiliates, brands, and properties) be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities, even if advised of the possibility.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Sites or Services will not exceed the greater of: (a) the total fees you paid to us for the Services giving rise to the claim in the three (3) months immediately preceding the event first giving rise to liability, or (b) $500.
12) Indemnification
You agree to indemnify, defend, and hold harmless Broadcast Harmonics LLC and its affiliates, brands, owners, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your misuse of the Sites/Services, (b) your violation of these Terms, (c) your Client Materials, (d) your products/services, or (e) your violation of any law or third-party rights.
13) Suspension and Termination
We may suspend or terminate access to the Sites/Services if we believe you violate these Terms, create risk, engage in abuse, or if required by law. Termination of a client engagement is governed by the applicable MSA/SOW/invoice terms.
14) Dispute Resolution; Governing Law; Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Sites/Services will be brought in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue in those courts.
15) International Users (Including EEA/UK)
If you access the Sites from outside the United States, you are responsible for compliance with local laws. We may process personal data as described in our Privacy Policy. Where required, we provide disclosures for EEA/UK visitors and honor applicable rights requests.
16) Changes to These Terms
We may update these Terms from time to time. The "Effective" date will reflect the latest revision. Continued use of the Sites/Services after changes means you accept the updated Terms.
17) SMS Messaging Terms
Broadcast Harmonics LLC and its brands may send SMS messages to authorized recipients for operational and transactional purposes, including but not limited to lead notifications, service updates, and scheduling or confirmation messages.
Message frequency varies depending on service activity or lead volume. Message and data rates may apply.
